LEGAL CAFÉ – LEGAL CONSULTATIONS
TERMS AND CONDITIONS dated 18th September 2007

Definitions

In these conditions Client shall mean the person or persons , body or company requesting consultancy services from the Consultant and the Consultant shall be the the legal consultants introduced by the Legal Café but not working for them;

Price shall be the price of the consultancy services, and Confidential Information shall be the any confidential information issued as part of the consultancy services

Masculine shall include the feminine and plural shall include the singular or vice versa

Formation of Contract

The Client hereby engages The Legal Café to provide legal consulting services as described in any request for consultancy services.

The Legal Café will conduct business solely upon the following terms and conditions, which can be varied only in writing by the parties thereto.

Nothing in this Agreement shall imply any guarantee or likelihood as to the outcome of any legal proceeding or arrangement subsequently entered into by the Client.

Consultant’s Obligations

The Consultant will provide the Client with general commercial, tactical and legal advice relating to the Client’s legal matters or problems.

Advice given will usually be as a preliminary consultation before the Client has entered/enters any legal proceedings or arrangements in which he may or may not decide to participate.

Consultants may draw on their own knowledge and expertise in particular specialist areas.

Consultants do not purport to have, nor does The Legal Café hold them out as having, expertise in all areas of law. If the Consultant or The Legal Café feels that an issue goes beyond remit of the Consultant, it will suggest a referral to an alternative source.

Consultants may not be required by Clients to carry out complex transactional legal work or handle complex disputes; nor do they claim to have the ability to do so.

Consultants do not necessarily have solicitors practising certificates, professional indemnity insurance or be solicitors or barristers.

Capacity/Status of Legal Consultants

The Consultant is neither an employee nor an agent of The Legal Café, and cannot legally bind The Legal Café

The Consultant is solely and independently responsible for the accuracy of legal information and standard of legal service provided by him to the Client

Independent Contractor Relationship

Nothing contained in this Agreement is intended or shall be construed to place the Parties in the relationship of partners, principal and agent, employer/employee or joint venture, nor to give either Party the authority to legally bind the other, and neither Party shall hold itself out as having such authority.

Price

The price of the services provided to the Client by Consultants shall be based upon The Legal Café’s current price list, or if appropriate and agreed, on a service-by-service basis.

Payment

Payment of the Price shall be paid within 3 days of invoice being delivered after which interest of 4% over Barclays bank plc base rate shall be payable

Liability

No responsibility for the accuracy or correctness of legal information or advice, or for any consequences of relying on legal information or advice provided by the Consultant, is assumed by The Legal Cafe or any individual member of staff of The Legal Café.

The Legal Café shall not be liable for loss and/or damage sustained by the Client by reason of:-

To the maximum extent permitted by law the Client agrees to hold The Legal Cafe harmless from any and all claims relating to the carrying out of the services.

The Legal Café will be under no liability to the Client whatsoever whether in contract, tort, (including negligence), breach of statutory duty, restitution or otherwise for any injury, death, damage or direct, indirect or consequential loss (all three of which terms include, without limitation, pure economic loss, loss of profits, loss of business, depletion of goodwill and like loss) howsoever caused arising out of or in connection with the use of the services or by relying on any information provided by the Legal Consultant.

These Terms do not exclude its liability (if any) to the Client for personal injury or death resulting from The Legal Café’s negligence, for fraud or for any matter which it would be illegal for The Legal Café to exclude or to attempt to exclude its liability.

Set-Off:

The Client may not withhold payment of any invoice or other amount due to The Legal Café by reason of any right of set-off or counterclaim which the Client may have or allege to have against the Consultant.

Confidentiality

The Consultant will keep strictly confidential any information (Confidential Information) belonging to the Client and/or its commercial associates or partners that is Confidential. Such information will be used solely for the provision of services under this Agreement. This restriction will not apply to information which (a) has become public knowledge without fault by the Consultant, (b) is disclosed to Consultant by a third party, provided that third party did not obtain it on a confidential basis, (c) is already known the Consultant as shown by prior written records, or (d) which the Consultant was required to disclose pursuant to applicable laws, rules, regulations, court or administrative proceedings or the like.

The obligation of confidentiality under this Agreement shall survive any termination thereof.

Data Protection

The Legal Café will only use any personal data collected during your use of this website in accordance with current UK data protection legislation and our privacy policy.

Parties will handle all Confidential Information containing personal data in accordance with all applicable law, including the European Data Protection Directive (EC/95/46) and Data Protection Act (1998)

Indemnification, Warranty and Liability

The Client agrees to indemnify The Legal Café and its directors, employees and agents for expenses, liabilities, losses claims or proceedings incurred in connection with any third-party claim or action determined to have arisen only from the negligence, wilful misconduct, misrepresentation or omission by the Client or any of its directors, employees, agents or representatives.

Governing Law and Jurisdiction

The Client ,Consultant and the Legal Café will attempt to settle any differences between themselves

English law governs these terms and the use of The Legal Café’s services. Parties submit to the non-exclusive jurisdiction of the English courts.

Entire Agreement

This agreement constitutes the entire agreement between the parties. The Client acknowledges that there can be reliance upon, and no remedy in respect of, any pre-contractual representation not set out in this document. All remedies are contractual

Each term is to be considered separately from the others. If any provision of these terms shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, such provision shall be divisible from them and shall be deemed deleted from them.

Third Parties

Any rights arising under the Contracts (Rights of Third Parties) Act 1999 are excluded.

Miscellaneous

The Client’s obligations and/or benefits hereunder shall not be assigned to any third party without the prior written consent of The Legal Café.

The Legal Café may alter these terms and conditions from time to time.
